This End User Licence Agreement (the "Agreement") is entered into between the person or entity installing the application (the "Licensee") and HUB DESPACHOS Y PYMES, S.L., a Spanish limited liability company with tax ID B76816875 and registered address at Avenida Benito Pérez Armas, 2 - PTL 2,6 B, Santa Cruz de Tenerife, España (the "Licensor").
It governs the use of Sign HUB (the "Application"), distributed through the Bitrix24 Market and installed on the Licensee's Bitrix24 account (the "Account"). The Application sends PDF documents held on CRM records for electronic signature and returns the signed document and its evidence to that same record.
Installing or using the Application constitutes acceptance of this Agreement. Whoever accepts on behalf of an organisation declares that they have authority to bind it. The Application is designed for business use; where the Licensee is a consumer, the mandatory protections of Spanish consumer law apply and prevail over any clause of this Agreement that conflicts with them.
The Licensor grants the Licensee a non-exclusive, non-transferable and revocable licence to use the Application for its own internal business purposes, on the Account where it is installed, for as long as this Agreement is in force.

The Licensor retains all intellectual property rights over the Application, its source code, its interface and its documentation. This Agreement grants a right of use and transfers no ownership.
The Licensee retains ownership of the data held in its Account and accessed by the Application through the Bitrix24 REST API.
What data the Application processes, for what purpose and for how long it is kept is described in the Application Privacy Policy.
The Licensor acts as processor in respect of the personal data it accesses in the Account on the Licensee's instructions, under the Data Processing Agreement (Art. 28 GDPR), and as controller in respect of the signature evidence it generates and retains, which is excluded from the scope of that agreement and governed by the Application Privacy Policy.
Installing the Application is free and includes a free plan of 20 documents per year, with no card required. Extended plans are billed by the Licensor directly, outside the Bitrix24 Market, and are managed from the Application's own Plan tab. Current prices and the limits of each plan are stated in the Application's listing and at https://testsign.hubtool.net.

This Agreement takes effect on installation and remains in force while the Application is installed. The Licensee may terminate it at any time by uninstalling the Application. The Licensor may terminate it in the event of material breach.
Uninstalling deletes the Account's access credentials and, where the Licensee requests deletion of the application data, its configuration. It does not delete documents already signed and their evidence, which are retained for the period stated in the Application Privacy Policy under an object-lock (WORM) policy where the storage backend supports it.
Sections 3, 4, 9, 10 and 14 survive termination.
The Application is provided "as is". The Licensor does not warrant uninterrupted availability or that it is free of errors.
To the extent permitted by law, the Licensor shall not be liable for indirect damages or loss of profit, and its aggregate liability shall not exceed the greater of the amounts paid by the Licensee for the Application in the twelve months preceding the event giving rise to the claim, or 100 EUR.
This limitation does not apply to liability for wilful misconduct or fraud, for death or personal injury, for breach of data protection obligations, or to any liability that cannot be limited under applicable law. Nor does it affect the Licensor's obligations as provider of the electronic signature service, which are governed by the Electronic Signature Service Terms.
The Licensee shall hold the Licensor harmless against third-party claims arising from the Licensee's use of the Application in breach of this Agreement, from the content of the documents it sends for signature, or from the Licensee's failure to comply with its own obligations towards the signers whose data it provides.
Neither party shall be liable for a failure to perform caused by events beyond its reasonable control, including failures of the Bitrix24 platform, of the qualified trust service provider or of the timestamping service.
The Licensor may amend this Agreement. Each new version is published at this same address with its own version number and effective date, and is announced within the Application. Continued use after that date constitutes acceptance. A Licensee who does not accept a new version may terminate this Agreement by uninstalling the Application.
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions remain in full force.
This Agreement is governed by Spanish law. For business users, any dispute shall be submitted to the courts of Santa Cruz de Tenerife, Spain. Where the Licensee is a consumer, the competent courts are those of the consumer's place of residence, in accordance with Art. 90.2 TRLGDCU.
This Agreement is drafted in Spanish, which is the authoritative version. Translations are provided for convenience; in the event of discrepancy, the Spanish text prevails.
This Agreement, together with the Application Privacy Policy, the Data Processing Agreement and the Electronic Signature Service Terms, constitutes the entire agreement between the parties in respect of the Application and supersedes any prior understanding.
